Terms of Service

1. Definitions

• "Authorized User" means an individual who is authorized by a Customer to use the Service, for whom a subscription has been purchased.
• "Customer Content" means any data, information, or material submitted by you or your Authorized Users to the Service, including source materials for content generation and user-generated responses.
• "Subscription Term" means the period for which you have purchased a subscription to the Service, typically on a monthly or annual basis.

2. The Service

2.1. Access and Use

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the Subscription Term, solely for your internal business purposes.

2.2. User Responsibilities

You are responsible for all activities conducted by your Authorized Users within the Service. You agree to:

• Maintain the confidentiality of all user credentials.
• Ensure that your use of the Service complies with all applicable laws and regulations.
• Be solely responsible for the accuracy, quality, and legality of your Customer Content.

2.3. Acceptable Use

You agree not to use the Service to:

• Engage in any illegal, fraudulent, or harmful activities.
• Transmit any material that is infringing, libelous, or otherwise unlawful or tortious.
• Interfere with or disrupt the integrity or performance of the Service or its components.
• Attempt to gain unauthorized access to the Service or its related systems or networks.
• Reverse engineer, decompile, or disassemble any portion of the Service.

3. Fees and Payment

3.1. Subscription Fees

You will pay all fees specified in the applicable ordering document or subscription plan ("Fees"). Except as otherwise specified herein, (i) Fees are based on the Service subscriptions purchased and not actual usage, (ii) payment obligations are non-cancelable and Fees paid are non-refundable, and (iii) quantities purchased cannot be decreased during the relevant Subscription Term.

3.2. Payment Terms

Fees will be invoiced in advance and otherwise in accordance with the terms of your subscription. You are responsible for providing complete and accurate billing and contact information to us and notifying us of any changes to such information.

3.3. Taxes

Our Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, including but not limited to Goods and Services Tax (GST). You are responsible for payment of all such taxes.

4. Intellectual Property Rights

4.1. Our Intellectual Property

We own all right, title, and interest in and to the Service, including all related intellectual property rights. The CognoStack name, logo, and the product names associated with the Service are trademarks of Talentotal Systems Private Limited, and no right or license is granted to use them apart from the right to access the Service.

4.2. Your Customer Content

You own all right, title, and interest in and to your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display your Customer Content as reasonably necessary for us to provide the Service in accordance with these Terms.

4.3. Feedback

If you provide us with any suggestions, ideas, or feedback regarding the Service, you agree that we may use such feedback for any purpose without any obligation or compensation to you.

5. Confidentiality

"Confidential Information" means all information disclosed by a party to the other party, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Your Confidential Information includes your Customer Content; Our Confidential Information includes the Service and its pricing. We will not disclose your Confidential Information except as compelled by law or as you expressly permit in writing. We will protect your Confidential Information with the same degree of care that we use to protect our own confidential information of like kind (but not less than reasonable care).

6. Disclaimers and Limitation of Liability

6.1. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6.2. Limitation of Liability

IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU HEREUNDER IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE LIABILITY. IN NO EVENT SHALL TALENTOTAL SYSTEMS PRIVATE LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

7. Term and Termination

These Terms are effective as of the start of your Subscription Term and will remain in effect until the subscription expires or is terminated. We may terminate these Terms and your access to the Service immediately if you are in material breach of these Terms. Upon termination, you must cease all use of the Service and all rights granted to you will terminate.

8. General Provisions

8.1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. You agree to submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India to resolve any legal matter arising from the Terms.

8.2. Entire Agreement

These Terms constitute the entire agreement between you and Talentotal Systems Private Limited regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations.

8.3. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice of any material changes by posting the new Terms on this site and/or by sending you an email.
